General terms and conditions of financing
To implement such an ambitious project it is necessary to raise $20,000,000 — this is the amount needed to build a factory and start production of uTerra elixir at the territory of Sustainable Biosphere Cluster. To raise the necessary amount, 3 rounds of financing are provided. On each of them, all investment offers are divided into lots, which you can register either with a lump sum payment or in instalments. Under the terms and conditions, the lots have the following denomination:
● 100,000 lot
● 50,000 lot
● 20,000 lot
● 10,000 lot
● 5,000 lot
● 2,000 lot
● 1,000 lot
Each lot — is the dollar amount of investment you invest into the project. Lots are registered under a loan agreement, and you can only invest from your main and bonus accounts. Each lot at each stage corresponds to a different percentage of the company's profit in proportion to the registered lot. That is, your income will depend on the amount invested and the final company's profit for the year.
Example of returns on investment:
1. On Round 2, you register Lot 100,000 in the amount of $100,000 with a lump sum payment;
2. On Round 2, Lot 100,000 corresponds to 55% of the company's profits in proportion to your lot;
3. The annual profit of the company was 30% of the profit from the planned 100% (100% profitability means $20,000,000) — $6,000,000;
4. The profit of the company is divided between the company and investors in proportion to their investments (registered lots);
5. Your interest of the lot is multiplied by the company's annual interest to form the profitability interest. It will be 16.5% for your Lot 100,000, which means you will receive $16,500.
Please note: you can invest unlimited number of times as long as there are unregistered lots.
Rounds of project financing
Round 1
Took place offline till 1 September 2023. It was only available to the curators of the regions.
On this round it was possible to purchase uTerra project lots and receive up to 60% of the company's profits according to the registered lot.
Round 2
Takes place from 13 September 2023. During the first two weeks of Round 2, till 27 September 2023 15:00 (GMT+3), exclusive access to invest in the uTerra project will only be available to SWC Premium Club members and the first line of their structure.
Please note: from 27 September 2023 15:00 (GMT+3) till 11 October 2023 (15:00 (GMT+3) access to investing in Round 2 will be open to all users of the personal account.
On this round it is possible to purchase uTerra project lots and receive up to 55% of the company's profits according to the registered lot.
Round 3
Will take place after the ending of Round 2. Available to all users of the personal account. This means that everyone can contribute to creating a better future!
On this round it will be possible to purchase uTerra project lots and receive up to 50% of the company's profits according to the registered lot.
Terms and conditions of investment during Round 2:
Each lot in the project has its own value and interest of the company's profit in proportion to the registered lot. Thus, the following lots are presented in the second stage:
With a lump sum payment:
● 100,000 lot with 55% of the company's profits in proportion to your lot
● 50,000 lot with 50% of the company's profits in proportion to your lot
● 20,000 lot with 45% of the company's profits in proportion to your lot
● 10,000 lot with 40% of the company's profits in proportion to your lot
● 5,000 lot with 37% of the company's profits in proportion to your lot
● 2,000 lot with 33% of the company's profits in proportion to your lot
● 1,000 lot with 28% of the company's profits in proportion to your lot
With payment by instalments:
● 100,000 lot with 52% of the company's profits in proportion to your lot
● 50,000 lot with 47% of the company's profits in proportion to your lot
● 20,000 lot with 42% of the company's profits in proportion to your lot
● 10,000 lot with 37% of the company's profits in proportion to your lot
● 5,000 lot with 34% of the company's profits in proportion to your lot
● 2,000 lot with 31% of the company's profits in proportion to your lot
● 1,000 lot with 26% of the company's profits in proportion to your lot

These conditions apply to the 2nd round of funding. The investment terms of subsequent rounds will be announced prior to their immediate launch.
Please note: your final income depends on the amount of personal investments and the profitability of the company, so the company does not guarantee exact amounts of income, and the above calculations are used as an example.
The conditions for obtaining the first profit:
You will be able to obtain the first profit in a year from the moment of launching the production process and beginning of products sales. The company considers several profit receiving options, among them: once a year, once every six months, once a quarter. You will be notified in advance of the frequency of profits being credited to your accounts.
Terms of referral bonuses payment:
Payments are made according to the structures in the SWC Marketing Plan, but the payout percentages will vary. A total of 10% of the lot amount will be distributed up to a maximum of level 24 of the partner structure in the following proportions:
● From the 1st level of the structure, 3% is accrued
● From the 2nd level of the structure, 1% is accrued
● From 3d to 9th level of the structure, 0.5% is accrued
● From 10th to 19th level of the structure, 0.2% is accrued
● From 20th to 25th level of the structure, 0.1% is accrued
